In order to protect your own rights and interests, please read the specific expressions of each clause under this TERMS OF USE (hereinafter refers to “Agreement”) carefully. The keywords listed before each clause are for the purpose of reference only and shall not affect or limit the meaning or interpretation of the terms of this Agreement.

Read Carefully. Before you click to agree to this Agreement during the registration process, you should read this Agreement carefully. Please be sure to carefully read and fully understand the content of each clause, especially the clauses on exemption or limitation of liability, application of law and dispute resolution clauses. Signing Action. If you use this website and/or platform, or fill in the information according to the prompts on the page and submit, it means that you have fully read, understood and accepted all the contents of this Agreement, and reached an agreement with AUXSOL to become a "user" of our website services. In the process of reading this Agreement, if you do not agree to this Agreement or any of the terms thereof, you should immediately stop using this website and/or platform.

AUXSOL, hereinafter refers to the legal entities operating AUXSOL's websites and/or platform. You can check the information published at the bottom of the Home of each website of AUXSOL's websites/platform at any time to determine the AUXSOL entity that performs the contract with you. Under this Agreement, the AUXSOL entity may be changed according to the business adjustment of the AUXSOL's websites/platform, and the changed AUXSOL entity will jointly perform this Agreement with you and provide services to you, without affecting your rights and interests under this Agreement. In the event of a dispute, you can determine the subject of your performance and the counterparty to the dispute according to the specific services you use and the specific actors that affect your rights and interests.

This Agreement is the lawful and binding Agreement between the user and AUXSOL.

1 User Eligibility

1-1 You confirm that before using our websites/platform services, you have the civil capacity for conduct that is compatible with your behavior as stipulated by the laws of the People's Republic of China or applicable law of your country. If you do not have the aforesaid capacity for civil conduct appropriate to your conduct, you shall obtain the consent of your parent or guardian, and you and your parent or guardian shall bear all the consequences arising therefrom in accordance with the law.

1-2 In addition, you also need to ensure that you are not the subject of trade restrictions, sanctions or other laws and rules imposed by any country, international organization or region, otherwise you may not be able to use websites/platform services normally.

2.2 You understand and accept that AUXSOL only provides related platform services, other equipment (such as PC, mobile phone and other related devices connected to Internet or mobile Internet) and required expenses (such as telephone rate and Internet access fees, etc.) shall be taken by the user.

4 Rules for Use

4.1 When using this service, you should observe related laws and regulations.

4.2 When using our websites/platform service, please abide by the following principles:

4.2.1 Abide by applicable laws and regulations of the service providing location and the region where you locate

4.2.2 Abide by all the network agreements, regulations and programs related to the services;

4.2.3 Do not conduct any behaviors that may impact the normal operation of Internet;

4.2.4 Do not use the services due to any illegal or commercial purposes;

4.2.5 Do not transmit any annoying, calumnious, abusive, threatened, four-letter or any other illegal information;

4.2.6 Legally acquire necessary consent, permit or license of any data provided by you;

4.2.7 Do not transmit or post junk mail, irrational large document, chain mail, multi-level marketing, network virus or other technologies that may impact the interest or property of this service or user of this service.

4.3 AUXSOL has the right to stop, alter and terminate the services according to actual situations without any liabilities to you or any third parties.

5 Alteration, Stop or Termination of Service

5.1 Whereas the specialty of network service, you understand and agree that AUXSOL has the right to alter, stop or terminate partial or whole of the websites/platform services according to the developing situation of business at any time without informing the user, nor bearing any liabilities to any users or any third parties;

5.2 You understand that AUXSOL needs to regularly or a periodically inspect or maintain the platform (such as Internet website, mobile network, etc.) or related equipment that provides services, if there is reasonable pause of services due to any reason, AUXSOL will bear no liability, but AUXSOL will inform you in advance as much as possible.

5.3 Under one of the following cases, AUXSOL has the right to terminate or stop providing the websites/platform services under this Agreement at any time without bearing any liabilities to you or any third parties:

5.3.1 Personal data you provided is not authentic;

5.3.2 You have violated the rules of use stipulated herein.

6 Intellectual Property Right

6.1 Any texts, pictures, graphs, audio/video included in websites/platform services provided by AUXSOL are protected by the copyright, trademark and/or other property rights that without the consent of related oblige, the abovementioned material should not be used for any commercial purposes.

6.2 All the rights of any software (including but not limit to any graphs, photos, automation, video, record, music, character and attached program or materials) provided by AUXSOL for the websites/platform services belong to the copyright owner of the software, without the permission of copyright owner of the software, you are not allowed to reverse engineer, decompile or disassemble the software by any means.

7 Privacy Protection

7.1 It is one of our basic policies to protect your personal privacy. AUXSOL has created a separate Privacy Policy in order to explain in detail how AUXSOL collect, manage, process, secure, and store your private information. AUXSOL guarantees not to disclose or provide your registration data or any of your non-disclosed contents to any third party when using the services, except for the following cases:

7.1.1 AUXSOL has acquired your prior specific authority;

7.1.2 Under the requirements of related laws and regulations;

7.1.3 Under the requirements of related governmental and competent department;

7.1.4 Under the requirements of public security organ, office of the public prosecutor, and the court;

7.1.5 In order to protect the public interest;

7.1.6 In order to protect legal interest of AUXSOL.

7.2 AUXSOL may cooperate with the third party to provide you with related services, under such case, if the third party agrees to bear the same liability of user privacy protection with AUXSOL, then AUXSOL has the right to provide the third party with your registration data.

7.3 Provided that AUXSOL do not disclose any of your the privacy data, AUXSOL has the right to analyze the whole user database and use it for commercial purpose.

8 Disclaimer

8.1 AUXSOL will neither guarantee that the network service can fully satisfy all the requirements of user, nor guarantee that the network service will not be interrupted for any reason. Besides, due to external factors unpredicted or unexpected to AUXSOL which may influence the network, AUXSOL is not able to guarantee for the timeliness, safety, and accuracy of the network service.

8.2 The website/platform contents include but are not limited to text, images, data, points of views, suggestions, web pages, and links offered on or through the websites. Our websites/platform and their contents are provided for your convenience only. Although we have attempted to provide accurate information on our websites/platform, we assumes no obligation or responsibility whatsoever regarding the accuracy, completeness and timeliness of the information, and expressly disclaims any liability for errors or omissions in these materials and contents, and does not make any warranties of any kind, express or implied, including, but not limited to, warranties of title, non-infringement of third party rights, quality and freedom from computer viruses in these materials and contents..

8.3 AUXSOL is not able to guarantee and control at any time the accessibility, accuracy and integrality of the external links which are for convenience. Please be noted that, for any contents in the external links that out of actual control of AUXSOL, AUXSOL will bear no liability for any losses or damages resulting therefrom.

8.4 For losses caused by network error, computer error, hacker attacks or virus, information damage or loss, computer system problems due to telecommunication system or Internet or other Force Majeure events, AUXSOL will bear no liability. However, AUXSOL exhaust our reasonable efforts to limit and reduce the losses and impacts due to such reasons as much as possible.

8.5 Limitation of liability. To the fullest extent permitted by applicable law in no event shall AUXSOL be liable for any indirect incidental special or consequential damages including but not limited to costs of procurement of substitute products or services, loss of profits or revenue, or loss of data or use, incurred by you or any third party, whether in an action in contract or tort or otherwise, even if it has been advised of the possibility of such damages in no event shall we be liable to you for any cause of action (contract, tort or otherwise) for more than the total amount paid to us by you during the previous three (3) months at the time the alleged claim arose (if any), whether arising in a single or multiple causes of action.

9 Applicable Law and Dispute Resolution

9.1 This Agreement shall be governed by Laws of the People’s Republic of China, and it is construed in accordance with them, without regard to principles of conflict of laws.

9.2 Any disputes arising out of or resulting from this Agreement shall be amicably negotiated and settled; otherwise, either party is entitled to submit the dispute to the local jurisdictional court of AUXSOL.

10 Miscellaneous

10.1 If any clause of this Agreement is held to be invalid or unenforceable for any reason, such provision shall be deemed severable, and shall not affect the remaining provisions, which shall continue in full force and effect. The waiver of any provision of this Agreement by AUXSOL will not operate or be interpreted as a waiver of any other provision, or waiver of the same provision on a subsequent date.

10.2 AUXSOL may amend or modify this Agreement at any time according to the change of related laws and regulations, operating status and operational strategy of company without further notice. The updated or modified Agreement will be publicized on AUXSOL website. Any disputes arising out hereof shall be subject to the latest Agreement. If you do not agree the modification of this Agreement, you are entitled to stop using the network service of AUXSOL. If you continue to use our service, it will be deemed as you accept AUXSOL’s modification to this Agreement.

10.3 AUXSOL has the authority for the interpretation and modification of this Agreement under the maximum allowable range of law.
